OBIECTUL CONTRACTULUI<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">2.1. Obiectul prezentului contract il constituie cedarea-preluarea, in concesiune, a (bunurile, activitatile sau serviciile publice) &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230; .<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">2.2. a)&nbsp;&nbsp;&nbsp;Descrierea obiectului si a concesiunii sunt stabilite in caietul de sarcini anexa, care face parte&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;integranta din prezentul contract si pe care concesionarul il accepta integral.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;b)&nbsp;&nbsp;Caietul de sarcini are caracter obligatoriu, clauzele sale completandu-se cu cele convenite de&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;parti<sup>2)&nbsp;<\/sup>.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">2.3. Predarea-primirea obiectului concesiunii se va efectua pe baza de proces-verbal care se va incheia pana la data de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;. si va constitui anexa care face parte integranta din prezentul contract.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">2.4. Categoriile de bunuri<sup>3)&nbsp;<\/sup>ce vor fi utilizate de concesionar in derularea concesiunii sunt urmatoarele:<\/span><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">2.5. La incetarea contractului de concesiune, din orice cauza, bunurile prevazute la pct. 2.4. se vor repartiza potrivit destinatiilor aratate la acest punct, concesionarul fiind obligat sa restituie, in deplina proprietate, liber de orice sarcina, bunul concesionat inclusiv investitiile realizate.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">III. DURATA CONTRACTULUI<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">3.1. Durata concesiunii este de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;. ani incepand de la data semnarii prezentului contract.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">3.2. Contractul de concesiune poate fi prelungit pentru o perioada egala cu cel mult o jumatate din durata sa initiala prin simplul acord de vointa al partilor care vor incheia un act aditional cu cel putin &#8230;.. ani\/luni\/zile inainte de incetarea lui.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">IV. PRETUL CONCESIUNII<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">4.1. Pretul concesiunii este de &#8230;&#8230;&#8230;.. lei indexabili in raport de rata inflatiei, cu o redeventa anuala in numerar\/natura, in suma\/valoare de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;.. lei, care va fi platita\/predata de catre concesionar concedentului, anual\/semestrial\/trimestrial\/lunar, conform devizului desfasurat in anexa, care face parte integranta din prezentul contract.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">4.2. Neplata\/nepredarea redeventei sau executarea cu intarziere a acestei obligatii conduce la retragerea concesiunii, cu toate consecintele ce decurg din aceasta, asa cum se prevede in caietul de sarcini.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">V. OBLIGATIILE PARTILOR<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">5.1. Relatiile contractuale dintre concedent si concesionar se bazeaza pe principiul echilibrului financiar al concesiunii, respectiv pe realizarea unei posibile egalitati intre avantajele care ii sunt acordate concesionarului si sarcinile care ii sunt impuse.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">5.2. In consecinta, concesionarul nu este obligat sa suporte cresterea sarcinilor legate de executarea obligatiilor sale, in cazul in care aceasta crestere rezulta in urma:<\/span><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">5.3. Concedentul se obliga sa puna la dispozitia concesionarului, la data inceperii concesiunii, inventarul complet, liber de orice sarcini, asa cum se prevede in caietul de sarcini.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">5.4. Concesionarul isi executa obligatiile potrivit termenilor si conditiilor prevazute in prezentul contract si in acord cu normele legale specifice domeniului de activitate respectiv, elaborate de institutiile legal abilitate in acest scop, precum si cu cele prevazute in caietul de sarcini.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">5.5. Concedentul are dreptul sa verifice, in perioada derularii contractului de concesiune, modul in care se respecta conditiile si clauzele acestuia de catre concesionar, acesta din urma avand obligatia de a pune la dispozitia concedentului toate informatiile, documentele si evidentele solicitate.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">5.6. Responsabilitatile de mediu se impart intre partile contractante astfel:<\/span><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">5.7. Concesionarul nu poate in nici un caz subconcesiona, in tot sau in parte, unei alte persoane, obiectul concesiunii.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">VI. GARANTII<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">6.1. Concesionarul se obliga ca in termen de 90 de zile de la data semnarii prezentului contract sa depuna cu titlu de garantie suma de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;. lei reprezentand cota-parte din suma obligatiei de plata catre concedent, stabilita de acesta si datorata pentru primul an de activitate<sup>7)<\/sup>.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">VII. RASPUNDERI<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">7.1. In cazul nerespectarii totale sau partiale ori a executarii necorespunzatoare a obligatiilor stabilite in caietul de sarcini si a clauzelor prezentului contract, partea in culpa este obligata la plata penalitatilor prevazute in caietul de sarcini, iar daca acestea nu acopera paguba, pentru partea neacoperita este obligata la daune-interese.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">7.2. Denuntarea unilaterala a contractului atrage, de asemenea, dupa sine, daune-interese, astfel: &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;.. .<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">VIII. MODIFICAREA CONTRACTULUI<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">8.1. Concedentul poate modifica, unilateral, partea reglementara a prezentului contract, cu notificarea prealabila a concesionarului, din motive exceptionale legate de interesul national sau local, dupa caz.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">8.2. a)&nbsp;&nbsp;&nbsp;In cazul in care modificarea unilaterala a contractului ii aduce un prejudiciu, concesionarul are&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;dreptul sa primeasca in mod prompt o despagubire adecvata si efectiva.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;b)&nbsp;&nbsp;In caz de dezacord intre concedent si concesionar cu privire la valoarea despagubirii, aceasta&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;va fi stabilita de instanta judecatoreasca competenta.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;c)&nbsp;&nbsp;Dezacordul dintre concedent si concesionar cu privire la despagubiri nu poate sa constituie un&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;temei pentru concesionar care sa conduca la sustragerea obligatiilor sale contractuale.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">IX. INCETAREA CONTRACTULUI<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">9.1. Prezentul contract de concesiune inceteaza in urmatoarele situatii:<\/span><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">X. FORTA MAJORA<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">10.1. Nici una dintre partile contractante nu raspunde de neexecutarea la termen sau\/si de executarea in mod necorespunzator &#8211; total sau partial &#8211; a oricarei obligatii care ii revine in baza prezentului contract, daca neexecutarea sau executarea necorespunzatoare a obligatiei respective a fost cauzata de forta majora, asa cum este definita de lege.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">10.2. Partea care invoca forta majora este obligata sa notifice celeilalte parti, in termen de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;. (zile, ore), producerea evenimentului si sa ia toate masurile posibile in vederea limitarii consecintelor lui.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">10.3. Daca in termen de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;.. (zile, ore) de la producere, evenimentul respectiv nu inceteaza, partile au dreptul sa-si notifice incetarea de plin drept a prezentului contract fara ca vreuna dintre ele sa pretinda daune-interese.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">XI. NOTIFICARI<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">11.1. In acceptiunea partilor contractante, orice notificare adresata de una dintre acestea celeilalte este valabil indeplinita daca va fi transmisa la adresa\/sediul prevazut in partea introductiva a prezentului contract.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">11.2. In cazul in care notificarea se face pe cale postala, ea va fi transmisa, prin scrisoare recomandata, cu confirmare de primire (A.R.) si se considera primita de destinatar la data mentionata de oficiul postal primitor pe aceasta confirmare.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">11.3. Daca notificarea se trimite prin telex sau telefax, ea se considera primita in prima zi lucratoare dupa cea in care a fost expediata.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">11.4. Notificarile verbale nu se iau in considerare de nici una dintre parti, daca nu sunt confirmate, prin intermediul uneia dintre modalitatile prevazute la alineatele precedente.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">XII. LITIGII<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">12.1. In cazul in care rezolvarea neintelegerilor nu este posibila pe cale amiabila, ele vor fi supuse spre solutionare tribunalului arbitral, conform regulilor de procedura aplicabile arbitrajului comercial ad-hoc, organizat de Camera de Comert si Industrie a Romaniei.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">XIII. CLAUZE FINALE<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">13.1. Modificarea prezentului contract se face numai prin act aditional incheiat intre partile contractante.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">13.2. Prezentul contract, impreuna cu anexele sale care fac parte integranta din cuprinsul sau, reprezinta vointa partilor si inlatura orice alta intelegere verbala dintre acestea, anterioara sau ulterioara incheierii lui.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">13.3. In cazul in care partile isi incalca obligatiile lor, neexercitarea de partea care sufera vreun prejudiciu a dreptului de a cere executarea intocmai sau prin echivalent banesc a obligatiei respective nu inseamna ca ea a renuntat la acest drept al sau.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">13.4. Prezentul contract a fost incheiat intr-un numar de &#8230;&#8230;&#8230;&#8230;&#8230; exemplare, din care &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;.. astazi &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;., data semnarii lui.<\/span><\/div>\n<div><\/div>\n<div align=\"center\" style=\"text-align: center;\"><span lang=\"RO\" style=\"font-family: Arial;\">CONCEDENT<\/span><\/div>\n<div align=\"center\" style=\"text-align: center;\"><\/div>\n<div align=\"center\" style=\"text-align: center;\"><span lang=\"RO\" style=\"font-family: Arial;\">CONCESIONAR<\/span><\/div>\n<div align=\"center\" style=\"text-align: center;\"><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;NOTE<\/span><\/b><span lang=\"RO\" style=\"font-family: Arial;\">:<\/span><\/div>\n<div style=\"margin-left: 54pt; text-indent: -18pt;\"><\/div>\n<div style=\"margin-left: 54pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">b)&nbsp;&nbsp;&nbsp;Contractul de concesiune se incheie in termen de 30 de zile de la data la care&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;concedentul a informat ofertantul despre acceptarea ofertei sale, daca prin caietul de&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;sarcini nu s-a stabilit altfel, nerespectarea termenului putand atrage plata de daune-&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;interese de catre partea in culpa.<\/span><\/div>\n<div style=\"margin-left: 54pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">c)&nbsp;&nbsp;&nbsp;Contractele de cesiune a terenurilor, de orice natura, se inregistreaza de catre&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;concesionar in registrele de publicitate imobiliara, in termen de 30 de zile&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;calendaristice de la data incheierii lor.<\/span><\/div>\n<div style=\"margin-left: 54pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">d)&nbsp;&nbsp;&nbsp;Refuzul ofertantului declarat castigator de a incheia contractul de concesiune atrage&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;dupa sine pierderea garantiei depuse pentru participare si, daca este cazul, plata de&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;daune-interese.<\/span><\/div>\n<\/div>\n","protected":false},"excerpt":{"rendered":"<p>CONTRACT DE CONCESIUNE1) Incheiat astazi &#8230;&#8230;&#8230;&#8230;&#8230;&#8230; la &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;..
