OBIECTUL CONTRACTULUI<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">2.1. Societatea incredinteaza managerului organizarea, conducerea si gestionarea activitatii sale, pe baza obiectivelor si criteriilor de performanta stabilite de parti.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">2.2. a)<span>&nbsp;&nbsp; <\/span>Indicatorii de referinta, obiectivele si criteriile de performanta sunt prevazute in anexa si fac <span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span>parte integranta din prezentul contract fiind stabilite pe baza bilantului contabil incheiat la data <span>&nbsp;&nbsp; <\/span>de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;.. .<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span>b)<span>&nbsp; <\/span>Indicatorii de referinta se stabilesc, in continuare, pe baza datelor fiecarui bilant anual, prin act <span>&nbsp;&nbsp;&nbsp;&nbsp; <\/span>aditional.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">III. DURATA CONTRACTULUI<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">3.1. Prezentul contract se incheie pe o durata de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230; ani.<sup>*)<\/sup><\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">3.2. In conditiile in care managerul isi indeplineste obligatiile asumate prin prezentul contract, la expirarea termenului prevazut, partile pot conveni prelungirea acestuia.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">IV. DREPTURI SI OBLIGATII<\/span><\/b><\/div>\n<div><span lang=\"RO\" style=\"font-family: Arial;\">4.1. Managerul are urmatoarele<\/span><\/div>\n<div style=\"margin-left: 36pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>a)<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">Drepturi:<\/span><\/div>\n<div style=\"margin-left: 54pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>1.<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">sa primeasca un salariu de baza brut, de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230; lei pe luna, renegociabil ori de cate ori se fac indexari de salarii;<\/span><\/div>\n<div style=\"margin-left: 54pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>2.<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">sa participe la profitul net al societatii, in procent de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230; %, stabilit astfel: &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;; zile lucratoare, platit cu o indemnizatie de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;;<\/span><\/div>\n<div style=\"margin-left: 54pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>4.<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">sa primeasca in folosinta un autoturism cu sofer, din dotarea societatii;<\/span><\/div>\n<div style=\"margin-left: 54pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>5.<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">sa fie asigurat pentru accident de munca, pe cheltuiala societatii;<\/span><\/div>\n<div style=\"margin-left: 54pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>6.<span style=\"font: 7pt &quot;Times New Roman&quot;\n\n;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">sa i se deconteze cheltuielile de cazare, diurna, transport si alte cheltuieli, pe baza de documente justificative, pentru deplasarile in interesul serviciului, efectuate in tara si in strainatate, stabilite la urmatoarele niveluri maxime &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;.. &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;.<\/span><\/div>\n<div style=\"margin-left: 36pt; text-indent: -19pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>&#8211;<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">concepe si aplica strategii si politici de dezvoltare a societatii;<\/span><\/div>\n<div style=\"margin-left: 73pt; text-indent: -19pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>&#8211;<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">selecteaza, angajeaza si concediaza personalul angajat;<\/span><\/div>\n<div style=\"margin-left: 73pt; text-indent: -19pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>&#8211;<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">negociaza contractul colectiv de munca si contractele individuale de munca;<\/span><\/div>\n<div style=\"margin-left: 73pt; text-indent: -19pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>&#8211;<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">alte prerogative incredintate de adunarea generala a asociatilor\/actionarilor.<\/span><\/div>\n<div style=\"margin-left: 54pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>2.<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">Sa constituie in termen de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;. o garantie baneasca in valoare de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;.., care se consemneaza intr-un cont purtator de dobanzi si se restituie managerului impreuna cu dobanzile aferente, la data incetarii prezentului contract, in conditiile realizarii integra-le a acestuia.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">4.2. Societatea are urmatoarele<\/span><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>a)<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">Drepturi:<\/span><\/div>\n<div style=\"margin-left: 57.55pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>1.<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">sa pretinda managerului indeplinirea obiectivelor si criteriilor de performanta stabilite in anexa;<\/span><\/div>\n<div style=\"margin-left: 57.55pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>2.<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">sa solicite managerului, periodic, prezentarea situatiei economico-financiare a societatii, stadiul realizarii investitiilor, precum si alte documente privind indeplinirea obiectivelor, criteriilor de performanta s.a.;<\/span><\/div>\n<div style=\"margin-left: 57.55pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>3.<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">sa pretinda managerului constituirea garantiei stabilite prin prezentul contract la valoarea si termenul convenite de parti.<\/span><\/div>\n<div style=\"margin-left: 39.55pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>b)<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">Obligatii:<\/span><\/div>\n<div style=\"margin-left: 57.55pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>1.<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">sa asigure managerului deplina libertate in conducerea, organizarea si gestionarea activitatii societatii, cu exceptia limitarilor prevazute de lege si de prezentul contract;<\/span><\/div>\n<div style=\"margin-left: 57.55pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>2.<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">sa plateasca managerului, integral si la termenele stabilite, toate drepturile banesti ce i se cuvin.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">V. CLAUZA DE LOIALITATE SI DE CONFIDENTIALITATE<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">5.1. Managerul este obligat sa-si foloseasca intreaga capacitate de munca si profesionala in interesul societatii, comportandu-se in activitatea sa ca un bun comerciant.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">5.2. a)<span>&nbsp;&nbsp; <\/span>Ii sunt interzise managerului orice fel de activitati in beneficiul unor societati concurente sau <span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span>care se afla in relatii comerciale cu societatea cu care acesta a incheiat contract.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span>b)<span>&nbsp; <\/span>Interdictia se extinde si asupra sotului\/sotiei managerului, precum si asupra rudelor acestuia <span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span>pana la gradul al IV-lea inclusiv.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">5.3. a)<span>&nbsp;&nbsp; <\/span>Pe toata durata de valabilitate a prezentului co<\/p>\n<p>ntract, managerul este obligat sa pastreze, cu <span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span>rigurozitate, confidentialitatea asupra datelor, informatiilor si documentelor referitoare la <span>&nbsp; <\/span>activitatea societatii, carora li s-a conferit acest caracter.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span>b)<span>&nbsp; <\/span>Obligatia prevazuta la lit. a) se mentine si pentru o perioada de &#8230;&#8230;&#8230;&#8230;&#8230;.. ani de la incetarea <span>&nbsp;&nbsp;&nbsp; <\/span>prezentului contract.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">VI. RASPUNDEREA PARTILOR<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">6.1. Pentru neindeplinirea sau indeplinirea necorespunzatoare a obligatiilor prevazute de prezentul contract, partile raspund, potrivit prevederilor legii.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">6.2. Raspunderea managerului este angajata pentru nerespectarea prevederilor legii, ale prezentului contract si ale hotararilor adoptate de adunarea generala a actionarilor\/asociatilor, ori ale deciziilor asociatului unic\/patronului, dupa caz.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">6.3. Managerul raspunde, potrivit legii, pentru daunele produse societatii prin orice act al sau contrar intereselor acesteia, prin acte de gestiune imprudenta, utilizarea abuziva sau neglijenta a valorilor materiale si banesti ale societatii.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">6.4. a)<span>&nbsp;&nbsp; <\/span>In cazul in care exista indicii privind savarsirea unei infractiuni in legatura cu executarea <span>&nbsp;&nbsp; <\/span>contractului de management, actionarii\/asociatii au obligatia sesizarii, de indata, a organe-lor <span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span>de urmarire penala.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span>b)<span>&nbsp; <\/span>In cazul prevazut la lit. a) pe perioada solutionarii sesizarii, contractul de management se <span>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span>suspenda.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">VII. INCETAREA CONTRACTULUI<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">7.1. Prezentul contract inceteaza prin:<\/span><\/div>\n<div style=\"margin-left: 36pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>a)<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">expirarea perioadei pentru care a fost incheiat, daca partile nu au renegociat prelungirea lui;<\/span><\/div>\n<div style=\"margin-left: 36pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>b)<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">revocarea managerului, in cazul neindeplinirii obligatiilor prevazute in prezentul contract;<\/span><\/div>\n<div style=\"margin-left: 36pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>c)<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">renuntarea managerului la mandatul incredintat, daca nu i s-au asigurat conditiile prevazute in contract;<\/span><\/div>\n<div style=\"margin-left: 36pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>d)<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">acordul partilor;<\/span><\/div>\n<div style=\"margin-left: 36pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>e)<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">interventia unei cauze de incompatibilitate;<\/span><\/div>\n<div style=\"margin-left: 36pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>f)<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">decesul sau punerea sub interdictie judecatoreasca a managerului;<\/span><\/div>\n<div style=\"margin-left: 36pt; text-indent: -18pt;\"><span lang=\"RO\" style=\"font-family: Arial;\"><span>g)<span style=\"font: 7pt &quot;Times New Roman&quot;;\">&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><span lang=\"RO\" style=\"font-family: Arial;\">insolvabilitatea sau falimentul societatii.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">7.2. In cazurile de revocare (lit. b) si de renuntare (lit. c), partea in cauza acorda un preaviz de 30 de zile.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">VIII. FORTA MAJORA<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">8.1. Nici una dintre partile contractante nu raspunde de neexecutarea la termen sau\/si de executa-rea in mod necorespunzator &#8211; total sau partial &#8211; a oricarei obligatii care ii revine in baza prezentului contract, daca neexecutarea sau executarea necorespunzatoare a obligatiei respective a fost cauzata de forta majora, asa cum este definita de lege.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">8.2. Partea care invoca forta majora este obligata sa notifice celeilalte parti, in termen de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;. (zile, ore), producerea evenimentului si sa ia toate masurile posibile in vederea limitarii consecintelor lui.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">8.3. Daca in termen de &#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;&#8230;.. (zile, ore) de la producere, evenimentul respectiv nu inceteaza, partile au dreptul sa-si notifice incetarea de plin drept a prezentului contract fara ca vreuna dintre ele sa pretinda daune-interese.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">IX. LITIGII<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">9.1. In cazul in care rezolvarea neintelegerilor nu este posibila pe cale amiabila, ele vor fi supuse spre solutionare instantelor judecatoresti competente.<\/span><\/div>\n<div><b><span lang=\"RO\" style=\"font-family: Arial;\">X. CLAUZE FINALE<\/span><\/b><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">10.1. Modificarea prezentului contract se face numai prin act aditional incheiat intre partile contractante.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">10.2. Prezentul contract, impreuna cu anexele sale care fac parte integranta din cuprinsul sau, reprezinta vointa partilor si inlatura orice alta intelegere verbala dintre acestea, anterioara sau ulterioara incheierii lui.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">10.3. In cazul in care partile isi incalca obligatiile lor, neexercitarea de partea care sufera vreun prejudiciu a dreptului de a cere executarea intocmai sau prin echivalent banesc a obligatiei respective nu inseamna ca ea a renuntat la acest drept al sau.<\/span><\/div>\n<div style=\"margin-left: 21.55pt; text-indent: -21.55pt;\"><span lang=\"RO\" style=\"font-family: Arial;\">10.4.
